Last updated: October 21, 2026
These Terms of Service (“Terms”) govern your access to and use of the website, the Growth Intelligence Platform, and the services (collectively, the “Services”) provided by Manjonka LLC (“GroXpertise,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for keeping your credentials confidential. You are responsible for all activity under your account.
2. The Services
GroXpertise provides growth systems and software for service-based businesses, including website, SEO, lead generation, conversion, automation, and AI services, as well as access to analytics and reporting tools. Specific engagements are defined in a proposal, order, or Statement of Work (“SOW”). Where you engage us for services, the Master Service Agreement governs that engagement and controls in the event of a conflict with these Terms.
3. Acceptable Use
You agree not to: (a) use the Services unlawfully or in violation of third-party rights; (b) interfere with or disrupt the Services or related infrastructure; (c) attempt to gain unauthorized access; (d) reverse engineer or copy the platform except as permitted by law; or (e) use the Services to send spam or unlawful communications.
4. Fees, Subscriptions & Payment
Fees are described in the applicable order, SOW, or subscription plan. Unless stated otherwise, subscriptions renew automatically for successive terms until cancelled, and fees are billed in advance and are non-refundable except as stated in our Refund Policy. You authorize us (and our payment processor) to charge your payment method for all applicable fees and taxes.
5. Intellectual Property
The Services, including the platform, software, content, and trademarks, are owned by GroXpertise or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or engagement. Ownership of custom deliverables is addressed in the applicable SOW or Master Service Agreement.
6. Your Content
You retain ownership of the materials and data you provide (“Client Content”). You grant us a license to use Client Content solely to provide and improve the Services. You represent that you have the rights necessary to provide it.
7. Third-Party Services
The Services may integrate with third-party products (for example, analytics, advertising, CRM, and hosting providers). Your use of those products is subject to their terms, and we are not responsible for them.
8. Disclaimers
The Services are provided “as is” and “as available.” We do not warrant specific results, rankings, lead volume, or revenue. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, GroXpertise will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless GroXpertise from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your Client Content, or your breach of these Terms.
11. Term & Termination
We may suspend or terminate your access if you breach these Terms or use the Services in a way that creates risk or legal exposure. You may stop using the Services at any time; cancellation of paid plans is governed by the applicable order and our Refund Policy. Sections intended to survive termination (including IP, disclaimers, liability, and indemnification) will survive.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in San Joaquin County, California, USA, except that either party may seek injunctive relief to protect its intellectual property or confidential information.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted with a new “Last updated” date; your continued use of the Services after changes take effect constitutes acceptance.
